Sunlight REIT has a disclosure of interests regime whereby certain provisions of Part XV of the Securities and Futures Ordinance in relation to disclosure of interest are deemed, pursuant to Schedule C of the trust deed constituting Sunlight REIT dated 26 May 2006, as amended, supplemented and/or otherwise modified from time to time (the "Trust Deed"), to apply to the Manager and the Directors or chief executive of the Manager and certain persons interested in or having short positions in units of Sunlight REIT ("Units").
Starting from 3 July 2017, disclosure of interest notices ("DI Notices") in Units should be submitted electronically through the Disclosure of Interests Online System ("DION System") available on The Hong Kong Exchanges and Clearing Limited (the "HKEx") website. DI Notices can no longer be submitted by hand, post, fax or email.
When a DI Notice is received through the DION System, the Manager will be notified by the HKEx through email.
You can refer to the "Disclosure of Interests Online (DION) System User Guide" published by the HKEx and "Outline of Part XV of the Securities and Futures Ordinance (CAP. 571) - Disclosure of Interests" published by the Securities and Futures Commission for more information. You should consult your professional advisers if you have questions when completing the DI Notices.
The information contained in DI Notices with respect to interests in Units are/will be published by the HKEx on its HKExnews website. The Manager takes no responsibility for the contents of any such notifications, makes no representation as to their accuracy or completeness and expressly disclaims any liability whatsoever for any loss howsoever arising from or in reliance upon such notifications published or to be published on such website.
Any person who has a duty of disclosure but fails to make notification in accordance with the Trust Deed should particularly take note of paragraph 4 of Schedule C of the Trust Deed.
